General Terms and Conditions Protection MS
1. Definitions
1.1 Secondment Agency: Protection MS, established in Breda, registered with the Chamber of Commerce under number 84484233.
1.2 Client: the natural or legal person who uses the services of the Secondment Agency.
1.3 Employee: the person who is seconded to the Client via the Secondment Agency.
1.4 Agreement: the agreement between the Secondment Agency and the Client with regard to the secondment services.
2. Applicability
2.1 These general terms and conditions apply to all offers, agreements and legal relationships between the Secondment Agency and the Client, unless otherwise agreed in writing.
2.2 By entering into an agreement with the Secondment Agency, the Client accepts these general terms and conditions.
3. Offers and Agreements
3.1 All offers from the Secondment Agency are without obligation, unless otherwise agreed in writing.
3.2 An agreement is concluded when the Client has accepted the quotation or order confirmation from the Secondment Agency, or when the Secondment Agency has actually carried out the work.
4. Obligations of the Secondment Agency
4.1 The Secondment Agency will make every effort to make the employee(s) with the right qualifications and experience available to the client.
4.2 The Secondment Agency is responsible for paying the salary, social security contributions and other legally required costs for the employee(s).
5. Obligations of the Client
5.1 The Client ensures that the working conditions for the seconded employee(s) comply with all relevant laws and regulations.
5.2 The Client is obliged to provide the necessary information and documents in a timely manner for the proper execution of the agreement.
6. Duration and Termination
6.1 The agreement between the Secondment Agency and the Client is entered into for the duration stated in the agreement, unless otherwise agreed in writing.
6.2 The agreement can be terminated by either party with due observance of a notice period of [number] weeks, unless another arrangement has been agreed.
7. Rates and Payment
7.1 The rates for the secondment services are stated in the agreement and are exclusive of VAT, unless otherwise agreed.
7.2 Payment must be made within 30 days after the invoice date, unless otherwise agreed.
8. Liability
8.1 The Secondment Agency shall not be liable for any damage resulting from the performance of the work by the seconded employee(s), unless there is intent or gross negligence on the part of the Secondment Agency.
8.2 The Client shall be responsible for the safety and working conditions at the workplace of the employee(s).
9. Confidentiality
9.1 Both parties undertake to maintain confidentiality of confidential information that they obtain from each other in the context of the agreement.
10. Applicable Law and Disputes 10.1 All agreements between the Secondment Agency and the Client shall be governed by Dutch law.
10.2 Disputes shall in the first instance be submitted to the competent court in Breda, unless the law provides otherwise.
